The shipper’s booking of cargo with All TransportDepot Inc. or its authorized representatives, following receipt of the applicable rate quotation or NRA amendment, constitutes full acceptance of all rates, terms, and conditions outlined herein.

The booking confirmation, together with the rate quotation, forms the complete Negotiated Rate Arrangement (NRA) in accordance with 46 C.F.R. Part 532, et seq.

The booking confirmation number shall serve as the NRA number.

This NRA is valid only for the specific vessel, voyage, routing, and departure referenced in the booking confirmation.

RATE VALIDITY (STRICT ENFORCEMENT)

All quoted rates are valid for 14 days from the date of issuance.

Rates are ONLY secured upon cargo being delivered (in-gated) within this 14-day period.

If cargo is not delivered to the port, terminal, or designated receiving facility within the validity window:

  • The rate automatically expires, and
  • A new NRA (revised quote) will be issued based on current market conditions, carrier tariffs, and vessel availability

Any delays in:

  • Cargo delivery
  • Documentation
  • Scheduling
  • Vessel space allocation

may result in rate adjustments at the time of in-gate, regardless of prior quotations.

RATE APPLICABILITY (FCL & RORO ONLY)

All TransportDepot Inc. handles shipments strictly as:

  • Full Container Load (FCL)
  • Roll-On/Roll-Off (RoRo)

No Less-than-Container Load (LCL) services are provided. Rate fixation:

  • FCL cargo: Rates fixed at terminal in-gate date
  • RoRo cargo: Rates fixed at date of delivery to port or receiving terminal

Cargo is considered received:

  • Upon terminal in-gate (FCL)
  • Upon physical delivery to port/terminal (RoRo)

PORT MEASUREMENT & FINAL BILLING (CRITICAL CLAUSE)

All rates are based on the dimensions, weight, and specifications provided at time of quoting. Final charges are subject to verification by the port, terminal, or ocean carrier.

If cargo is measured, weighed, or classified differently at origin:

  • The port/carrier verified measurements SHALL prevail, and
  • All charges will be adjusted accordingly, including but not limited to:
  • Ocean freight
  • Surcharges
  • Handling fees

This applies especially to:

  • Heavy machinery
  • Oversized units
  • Modified or irregular cargo

VESSEL, ROUTING & MARKET ADJUSTMENTS

Ocean freight is subject to carrier and market conditions. If any of the following occur:

  • Vessel or voyage change
  • Routing or transshipment changes
  • Missed cut-off or delayed delivery
  • Carrier-imposed increases (GRI, BAF, PSS, ETS, war risk, congestion, etc.)

A revised NRA will be issued reflecting updated rates and conditions.

CARRIER & PORT CHARGES (PASS-THROUGH)

Any charges imposed by the ocean carrier, port, or terminal—including those under 46 C.F.R.§520.8—shall be:

Passed through to the shipper at cost, without markup, unless otherwise agreed in writing.

ADDITIONAL CHARGES & CONDITIONS

The NRA may include, but is not limited to:

  • Demurrage
  • Detention / Per Diem
  • Port storage
  • Free time limitations
  • Waiting time
  • Terminal handling changes
  • Equipment imbalance / congestion surcharges
  • Customs inspections (VACIS, CET, intensive exams)
  • Government or regulatory fees
  • Freight forwarder compensation

All such charges are:

  • Outside carrier control
  • Subject to change
  • Billable when incurred

CANCELLATION & ADMINISTRATIVE FEES (ENFORCEABLE POINT)

Once a booking is confirmed and/or shipment enters the export process, including:

  • Inland dispatch
  • Warehouse delivery
  • Terminal in-gate
  • AES filing or documentation processing

The following applies:

  • A minimum administrative / cancellation fee will be charged
  • All costs already incurred will be billed to the shipper
  • If cargo has reached port or terminal:
  • Port charges
  • Handling fees
  • Removal / repositioning fees

will apply in full

Bookings are NOT risk-free once operations have begun

GOVERNING TERMS

This NRA is subject to:

  • All TransportDepot Inc. Terms & Conditions
  • Applicable ocean carrier tariffs and rules
  • U.S. Customs and export regulations
  • All regulations governed by the Federal Maritime Commission (FMC)

CONTAINER LOADING, ELEVATED FITMENT & LIABILITY

Standard Container Capacity

  • 40FT Container: Up to 2 vehicles or equivalent cargo.
  • 20FT Container: Up to 1 vehicle or equivalent cargo.

Standard loading includes normal positioning and securing of cargo.

Additional Cargo & Elevated Positioning

Where a client requests additional cargo beyond standard capacity, the client expressly understands and authorizes that one or more vehicles may be physically lifted, elevated, tilted, or positioned above other cargo to create the necessary space within the container.

This nonstandard loading arrangement may require specialized lifting equipment, supports, tight-clearance positioning, or minor disassembly.

CLIENT ACCEPTANCE OF RISK & LIABILITY

By authorizing additional cargo, the client:

  • Expressly consents to the lifting, elevation, repositioning, and specialized securing of vehicles or cargo.
  • Acknowledges and accepts the increased risks of scratches, dents, undercarriage damage, suspension stress, and other damage associated with elevated loading.
  • Assumes the inherent risks associated with the requested loading configuration during loading, ocean transportation, and unloading.
  • Agrees that All TransportDepot Inc. shall not be liable for loss or damage arising from the inherent risks of the client-requested nonstandard loading arrangement, to the fullest extent permitted by applicable law, except where liability cannot legally be excluded.

DESTINATION UNLOADING — CLIENT’S SOLE RESPONSIBILITY

The client is solely responsible for arranging, coordinating, supervising, and paying for all unloading operations at the destination, including any cranes, forklifts, lifting equipment, specialized personnel, supports, or other resources required to safely lower and remove elevated vehicles or cargo.

The client must ensure that the destination facility has the equipment, clearance, and qualified personnel necessary to safely unload the approved configuration.

All TransportDepot Inc. does not provide, supervise, or assume responsibility for destination unloading. Any loss, damage, injury, delay, or additional expense arising from destination unloading shall remain the client’s responsibility, to the fullest extent permitted by applicable law, except where caused by ATD’s negligence or other liability that cannot legally be excluded.

FINAL FITMENT & CLIENT ACKNOWLEDGMENT

All loading arrangements remain subject to physical fitment, weight distribution, and safety requirements. All TransportDepot Inc. reserves the right to modify or reject unsafe configurations.

By approving the quotation, paying the deposit, or authorizing shipment, the client acknowledges and accepts the elevated loading arrangement, associated risks, and full responsibility for destination unloading, subject to applicable law.

VEHICLE CLASSIFICATION, MEASUREMENTS & FINAL FREIGHT CHARGES

Vehicle Categories (CBM)

All vehicles are rated according to their overall cubic meter (CBM) measurements:

  • Category 1: Up to 12.00 CBM
  • Category 2: Over 12.00 to below 18.00 CBM
  • Category 3: 18.00 to below 24.00 CBM
  • High & Heavy (H&H): 24.00 CBM and above — charged per cubic meter at the applicable H&H rate.

ACCURATE DIMENSIONS — CLIENT RESPONSIBILITY

The client is solely responsible for providing accurate vehicle dimensions (length × width × height), including any modifications, accessories, or attachments affecting overall measurements.

All initial quotations are provisional and subject to final port or shipping-line measurements.

FINAL MEASUREMENTS & RATE ADJUSTMENTS

The departure port or shipping line may physically measure the vehicle to establish its final chargeable CBM and classification.

Where verified measurements differ from those originally declared, the client is responsible for all resulting rate adjustments, including reclassification into High & Heavy (H&H).

Such charges may be assessed after booking, port delivery, or vessel departure and must be settled in accordance with the agreed payment and document-release terms.

MEASUREMENT DISPUTES & REMEASUREMENT

Clients disputing the carrier’s measurements may request a formal remeasurement through All TransportDepot Inc.

Remeasurement is subject to shipping-line approval.

A USD $250 remeasurement fee applies if the shipping line approves and performs the service under the quoted fee arrangement.

If the remeasurement confirms the original measurements, the applicable freight charges remain payable.

If an error is confirmed, All TransportDepot Inc. will request the appropriate freight correction from the shipping line.

Remeasurement requests do not automatically suspend applicable storage, demurrage, or other charges.

CLIENT ACCEPTANCE

By accepting the quotation and authorizing shipment, the client acknowledges that the initial freight rate is based on client-provided measurements, and the final chargeable rate is subject to the port’s or carrier’s verified measurements, applicable tariff, and any approved corrections.

All TransportDepot Inc. shall not be responsible for additional freight resulting from inaccurate or incomplete dimensions supplied by the client, except to the extent required by applicable law.

FINAL ACKNOWLEDGMENT

By proceeding with booking, cargo dispatch, or delivery, the shipper:

  • Confirms acceptance of all terms outlined in this NRA
  • Acknowledges rate validity conditions and adjustment triggers
  • Accepts responsibility for all applicable charges incurred
