The shipper’s booking of cargo with All TransportDepot Inc. or its authorized representatives, following receipt of the applicable rate quotation or NRA amendment, constitutes full acceptance of all rates, terms, and conditions outlined herein.

The booking confirmation, together with the rate quotation, forms the complete Negotiated Rate Arrangement (NRA) in accordance with 46 C.F.R. Part 532, et seq.

The booking confirmation number shall serve as the NRA number.

This NRA is valid only for the specific vessel, voyage, routing, and departure referenced in the booking confirmation.

 

RATE VALIDITY (STRICT ENFORCEMENT)

All quoted rates are valid for 14 days from the date of issuance.

Rates are ONLY secured upon cargo being delivered (in-gated) within this 14-day period.

If cargo is not delivered to the port, terminal, or designated receiving facility within the validity window:

  • The rate automatically expires, and
  • A new NRA (revised quote) will be issued based on current market conditions, carrier tariffs, and vessel availability

Any delays in:

  • Cargo delivery● Documentation● Scheduling
  • Vessel space allocation

may result in rate adjustments at the time of in-gate, regardless of prior quotations.

 

RATE APPLICABILITY (FCL & RORO ONLY)

All TransportDepot Inc. handles shipments strictly as:

  • Full Container Load (FCL)● Roll-On/Roll-Off (RoRo)

No Less-than-Container Load (LCL) services are provided. Rate fixation:

  • FCL cargo: Rates fixed at terminal in-gate date
  • RoRo cargo: Rates fixed at date of delivery to port or receiving terminal

Cargo is considered received:

  • Upon terminal in-gate (FCL)
  • Upon physical delivery to port/terminal (RoRo)

PORT MEASUREMENT & FINAL BILLING (CRITICAL CLAUSE)

All rates are based on the dimensions, weight, and specifications provided at time of quoting.򸈏Final charges are subject to verification by the port, terminal, or ocean carrier.

If cargo is measured, weighed, or classified differently at origin:

  • The port/carrier verified measurements SHALL prevail, and
  • All charges will be adjusted accordingly, including but not limited to:

○ Ocean freight○ Surcharges

○ Handling fees

This applies especially to:

  • Heavy machinery● Oversized units
  • Modified or irregular cargo

VESSEL, ROUTING & MARKET ADJUSTMENTS

Ocean freight is subject to carrier and market conditions. If any of the following occur:

  • Vessel or voyage change
  • Routing or transshipment changes● Missed cut-off or delayed delivery
  • Carrier-imposed increases (GRI, BAF, PSS, ETS, war risk, congestion, etc.)

A revised NRA will be issued reflecting updated rates and conditions.

 

CARRIER & PORT CHARGES (PASS-THROUGH)

Any charges imposed by the ocean carrier, port, or terminal—including those under 46 C.F.R.§520.8—shall be:

Passed through to the shipper at cost, without markup, unless otherwise agreed in writing.

 

ADDITIONAL CHARGES & CONDITIONS

The NRA may include, but is not limited to:

  • Demurrage
  • Detention / Per Diem● Port storage
  • Free time limitations● Waiting time
  • Terminal handling changes
  • Equipment imbalance / congestion surcharges
  • Customs inspections (VACIS, CET, intensive exams)● Government or regulatory fees
  • Freight forwarder compensation

All such charges are:

Outside carrier control Subject to change

Billable when incurred

 

CANCELLATION & ADMINISTRATIVE FEES (ENFORCEABLE POINT)

Once a booking is confirmed and/or shipment enters the export process, including:

  • Inland dispatch
  • Warehouse delivery● Terminal in-gate
  • AES filing or documentation processing

The following applies:

  • A minimum administrative / cancellation fee will be charged● All costs already incurred will be billed to the shipper
  • If cargo has reached port or terminal:

○ Port charges○ Handling fees

○ Removal / repositioning fees○ Storage

will apply in full

Bookings are NOT risk-free once operations have begun

SERVICE SCOPE CLARIFICATION

All TransportDepot Inc. does not provide LCL services.

All shipments are strictly handled as:

  • FCL (Full Container Load)● RoRo (Roll-On/Roll-Off)

 

GOVERNING TERMS

This NRA is subject to:

  • All TransportDepot Inc. Terms & Conditions● Applicable ocean carrier tariffs and rules
  • U.S. Customs and export regulations
  • All regulations governed by the Federal Maritime Commission (FMC)

 

FINAL ACKNOWLEDGMENT

By proceeding with booking, cargo dispatch, or delivery, the shipper:

Confirms acceptance of all terms outlined in this NRA

Acknowledges rate validity conditions and adjustment triggers Accepts responsibility for all applicable charges incurred
